Terms of Service
By accessing or using GoPal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Gopal Limited ("we", "us", "our"), registered in Auckland, New Zealand. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
GoPal is a cloud-based procurement tracking tool that helps operations teams manage orders, inventory, and vendor relationships. The Service includes the web application at orders.getgopal.co.nz, the GoPal Chrome extension, and related APIs.
- You must provide a valid email address to create an account.
- You are responsible for maintaining the security of your login credentials.
- Organisation administrators are responsible for managing user access within their organisation, including inviting, assigning roles, and deactivating users.
- You must notify us immediately if you become aware of any unauthorised access to your account.
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorised access to the Service, other accounts, or systems connected to the Service.
- Interfere with or disrupt the Service, including via automated scripts, bots, or excessive API requests.
- Upload malicious content, viruses, or harmful code.
- Resell, redistribute, or sublicense access to the Service without our written consent.
You retain ownership of all data you enter into GoPal. We do not claim any intellectual property rights over your order data, inventory records, staff information, or any other content you create within the Service.
We will not access your data except as necessary to provide the Service, respond to support requests, or comply with legal obligations. Our handling of personal data is governed by our Privacy Policy.
You are responsible for ensuring that any data you enter into GoPal complies with applicable privacy laws, including the New Zealand Privacy Act 2020, particularly when entering personal information about staff members.
The GoPal Chrome extension uses AI (Anthropic's Claude) to extract order details from vendor websites. By using this feature:
- You acknowledge that AI extraction is automated and may occasionally produce errors. You should review extracted data before confirming orders.
- You consent to the visible page text being sent to Anthropic's API for processing. This data is not stored by Anthropic beyond the duration of the request.
- You are responsible for only capturing pages that you have legitimate access to.
GoPal offers a free trial period for new organisations. After the trial period, continued use requires an active subscription. Pricing details are available on our website or upon request.
- Subscriptions are billed monthly or annually as agreed.
- We will provide at least 14 days notice before any price changes take effect on your account.
- If payment fails, we may suspend access to the Service after a 7-day grace period. Your data will be retained for 90 days after suspension, during which you can reactivate by updating your payment method.
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our control, including third-party service outages, network issues, or force majeure events.
To the maximum extent permitted by New Zealand law:
- The Service is provided "as is" without warranties of any kind, either express or implied.
- We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
- Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the Consumer Guarantees Act 1993 or other applicable New Zealand law.
- You may cancel your subscription at any time. Your access will continue until the end of your current billing period.
- We may suspend or terminate your access if you breach these Terms, after providing reasonable notice and an opportunity to remedy the breach where practicable.
- Upon termination, you may request an export of your data within 30 days. After 90 days, your data will be permanently deleted in accordance with our Privacy Policy.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of New Zealand.
